Sageframe Terms of Service

Effective date: September 19, 2026

These Terms of Service (the "Terms") are an agreement between you and Starbuilders Consulting Ltd. ("Starbuilders," "we," "us"), a corporation incorporated in British Columbia, Canada, for your use of the Sageframe platform and services (the "Service").

By accepting these Terms, creating an account, or using the Service, you agree to them. If you accept on behalf of an organization, you confirm that you are authorized to bind it, and "you" means that organization. If you do not agree, do not use the Service.

A Product may have an additional Product Addendum (for example, the Bellwether Product Addendum). Where one applies to you, it forms part of these Terms for that Product and prevails over these base Terms for that Product if they conflict.

1. Definitions

  • Sageframe — our platform, through which we make Products available.
  • Product — a body of licensed text used as a lens, applied through the Sageframe method (for example, Bellwether or FaithTrellis). Each Product is reached at its own address.
  • Corpus — the text of a Product, together with our adaptation and arrangement of it.
  • Software — the software we provide as part of the Service.
  • Service — the Software and the Corpus, and the related websites and account tools. The Service does not include any artificial-intelligence or language-model service (Section 3).
  • Third-Party AI Host — the compatible third-party AI assistant you choose and connect (for example, Claude), operated by a third party, not by us.
  • Output — any text, analysis, recommendation, or other content your Third-Party AI Host produces, including anything it enters through the Service.
  • Seat — a right of access for one identified individual, identified by that individual's email address.
  • Organization — an entity that holds an account and to which Seats are assigned.
  • Subscriber — an individual who uses a Seat.
  • Order Form — the order, quote, checkout, or plan that sets your Seats, price, and term.

2. Eligibility and accounts

You must be at least the age of majority where you live (19 in British Columbia). The Service is for business and professional use.

You are responsible for your account information, for keeping your credentials secure, and for activity under your account. Where an Organization holds the account, it is responsible for its Subscribers' compliance with these Terms, for its Seat count, and for all fees, and its administrators may assign, reassign, and remove Seats.

3. What the Service is

We provide the Software and the Corpus. The Service does not provide artificial intelligence and does not give advice. We do not operate or supply any AI or language model, and we do not generate any analysis, recommendation, advice, or other Output. Your Third-Party AI Host, which you select and connect, produces the reasoning and any Output. The Service is a framework for your own use and is not a substitute for your judgment or for professional advice.

4. Your Third-Party AI Host

You choose and connect your Third-Party AI Host. Your use of it is governed by its provider's terms, not these Terms. We do not control it and are not responsible for it or its Output.

Output may be inaccurate, incomplete, fabricated, or unsuitable. Any recommendation is your Third-Party AI Host's Output and your own decision. You are responsible for reviewing and verifying Output before relying on it, including by seeking professional advice where appropriate.

5. No professional advice

The Service does not provide legal, financial, investment, tax, accounting, medical, or other professional advice, and creates no advisory, fiduciary, or agency relationship. For advice about your circumstances, consult a qualified professional. You use the Service and any Output at your own risk.

6. Licence to you

Subject to these Terms and your payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable licence, for your paid term, to use the Service for your business and professional purposes, per Seat. Each Seat is for one identified individual and may not be shared, used concurrently, or transferred, except that an Organization may reassign a Seat. We and our licensors retain all rights not expressly granted.

7. Intellectual property and the Corpus

We and our licensors own the Software, the Sageframe method, the Sageframe and Product names and logos, and related intellectual property. These Terms grant you no rights in them except the licence in Section 6.

Some Corpus text originates with third parties and is used under licence. Where it does, we make it available only as our licence permits, the underlying rights remain with their owners, and your rights in that Corpus text are subject to and no broader than those terms.

You may use Corpus text only within the Service for your own purposes. You may not copy, distribute, publish, sell, sublicense, or create a competing or derivative corpus from it, or extract it in bulk or by automated means. We may change or withdraw Corpus access if a licence to underlying text changes or ends, with reasonable notice where practicable.

As between you and Starbuilders, you own your Output, subject to your Third-Party AI Host provider's terms and to any underlying rights in Corpus text it reproduces. We claim no ownership of your Output.

If you send us feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it.

8. Acceptable use

You will not, and will not permit others to: reverse engineer or attempt to derive the Software's source code, except as the law permits; extract the Corpus or other Service content in bulk or by automated means; copy, resell, sublicense, or redistribute the Service or the Corpus, or use them to build or train a competing product or corpus; circumvent Seat limits or access controls; use the Service unlawfully, to infringe others' rights, or to transmit malware; or interfere with the Service's integrity or security. We may suspend or limit access to investigate or stop a suspected breach.

9. Fees, taxes, and payment

Fees, Seat quantities, and the term are set in your Order Form. Prices are exclusive of taxes. Fees are payable in advance and, except as Section 10 or the law provides, are non-refundable.

We use Stripe to process payments. Stripe collects and handles your card details through its hosted checkout; we do not receive or store your card number. Your payment is also subject to Stripe's terms. Starbuilders is the merchant of record.

You are responsible for applicable sales taxes (such as GST and PST or HST) for your location, which we add where we are required to collect them.

We may change fees on notice, effective at your next renewal term. If you do not accept a change, you may cancel before it takes effect.

10. Term, renewal, cancellation, and refunds

Your subscription runs for the term in your Order Form and, unless cancelled, renews for successive terms of the same length at the then-current fee.

You may cancel at any time, effective at the end of your current paid term; access continues until then and does not renew. Except as the law or your Order Form provides, fees are non-refundable and cancelling does not refund the current term.

Consumers. To the extent your purchase is a "consumer transaction" under British Columbia's Business Practices and Consumer Protection Act (the "BPCPA"), its rules on automatic renewal, renewal notice, cancellation without penalty, and refunds apply and prevail over anything inconsistent above, and we will not change your cancellation or refund terms to your disadvantage during a term.

11. Changes to the Service and these Terms

We may change or discontinue features of the Service. We may update these Terms; we will post the updated Terms with a new effective date and, for material changes, take reasonable steps to notify you. Material changes take effect at your next renewal term, or when the law requires. Continued use after a change takes effect is acceptance. Where you are a consumer under the BPCPA, we will not apply a change that reduces your rights during a term.

12. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms (including non-payment or an acceptable-use breach) and do not cure a curable breach within a reasonable time after notice, or where we must to comply with law or address a security risk. You may cancel under Section 10. On termination, your licences under Sections 6 and 7 end and your access ends. Sections 4, 5, 7, 9, 13, 14, 15, 16, and 17 survive.

13. Disclaimer of warranties

The Service is provided "as is" and "as available." To the fullest extent the law permits, we disclaim all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any Corpus text or Output is accurate, complete, or suitable. Nothing in this Section limits a warranty or right that cannot be excluded under applicable law, including a non-excludable statutory warranty owed to a consumer under the BPCPA.

14. Limitation of liability

To the fullest extent the law permits: we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, however arising; and our total liability arising out of or relating to the Service or these Terms will not exceed the fees you paid us for the Service in the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable law, including for fraud and non-excludable consumer rights under the BPCPA.

15. Indemnification

You will indemnify us against claims, damages, and costs (including reasonable legal fees) arising from your use of the Service in breach of these Terms, your acceptable-use violations, or your infringement of a third party's rights. We will notify you of the claim; you will control the defence with our reasonable cooperation and will not settle in a way that binds us without our consent.

16. Governing law and disputes

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of British Columbia have jurisdiction, and you submit to it.

17. General

Entire agreement: these Terms, any applicable Product Addendum, and your Order Form are the entire agreement about the Service. Severability: if a provision is unenforceable, the rest stands. No waiver: not enforcing a provision does not waive it. Assignment: you may not assign these Terms without our consent; we may assign them, including on a merger, acquisition, or sale of assets. Force majeure: we are not liable for delays or failures beyond our reasonable control. Notices: we may give notice by email to your account address or by posting to the Service.

Bellwether Product Addendum

Effective date: September 19, 2026

This Addendum applies only to the Bellwether Product and forms part of the Sageframe Terms of Service (the "Terms"). Capitalized terms have the meanings given in the Terms. If this Addendum conflicts with the base Terms, this Addendum prevails for the Bellwether Product. It does not apply to any other Product.

1. The Bellwether Product

The Bellwether Product applies the Sageframe method through a Corpus adapted from the Laws and Principles of the Bellwether Alliance (thebellwetheralliance.com), an organization independent of Starbuilders. As with every Product, your Third-Party AI Host produces the reasoning and any Output; neither Starbuilders nor the Bellwether Alliance does.

2. Eligibility: active Bellwether membership

The Bellwether Product is available only to current, active members of the Bellwether Alliance. By subscribing to or using it, you represent that you are an active member and will remain one while you use it.

If your membership ends or lapses, your eligibility ends. We may suspend or cancel your Bellwether subscription at the end of your current paid term, or earlier where the head-licence or the law requires, and we may verify your membership at any time.

A cancellation because your membership ended is a cancellation under Section 10 of the Terms; access continues to the end of the term already paid for unless the head-licence or the law requires otherwise, and any refund follows Section 10, including the consumer rules where they apply.

3. Bellwether Corpus rights

The Bellwether Corpus originates with the Bellwether Alliance, which retains all underlying rights in its Laws and Principles. We use it under licence. Your rights in the Bellwether Corpus are only as our licence permits, are limited to active members, and are otherwise subject to the Corpus restrictions in Section 7 of the Terms.

4. The Bellwether Alliance

Starbuilders operates the Bellwether Product independently. The Bellwether Alliance is not the provider of the Service, is not a party to the Terms, and is not responsible for the Service or any Output. Your membership in the Bellwether Alliance is governed by your separate relationship with it.
